Redline Capital Management S.A. is a management company subject to chapter 16 of the Luxembourg act of 17 December 2010 on undertakings for collective investment, as amended. The company was incorporated under the form of a public limited liability company (societe anonyme) on 12 February 2008. The registered office of Redline is 26, Avenue Monterey, L-2163 Luxembourg. Redline is registered at the Registre de Commerce et des Societes of Luxembourg under the number B 136789. The initial articles of incorporation of Redline have been filed with the Registre de Commerce et des Societes of Luxembourg and are published in the Memorial C, Recueil des Societes et Associations of 10 March 2008. Redline has been authorised by the Luxembourg financial market authority, the Commission de Surveillance du Secteur Financier. Redline is the management company for a Luxembourg based and regulated fund called the “Redline Capital Fund FCP-FIS” (the “Fund”). The Fund was created in Luxembourg on 12 February 2008 for an unlimited duration and is subject to part I of the Luxembourg act of 13 February 2007 on specialised investment funds, as amended.
